On December 9, 2021, the Company (“Issuer”) and Tokyo Century Corporation (“Investor”), a financial company incorporated under the law of Japan, have signed a Subscription Agreement in relation to instruments issued by the Company with the following details:

• Principal amount of subscription : US$50,000,000
• Maturity : 3 years, which can be extended for 1 year
• Option to convert: settlement of instrument can be exercised through the conversion of shares. Provisions regarding shares, prices and exchange mechanisms will be determined at a later date by agreement between both parties.
